Welcome to Pronto. These Terms of Service ("Terms") govern your access to and use of Pronto's international calling services, website, and applications (collectively, the "Service"). By using Pronto, you understand and agree to these Terms.

Pronto is operated by Easy Ventures LLC, a Delaware limited liability company ("Easy Ventures," "we," "us," or "our"). Pronto is a business-to-business (B2B) service intended exclusively for commercial use by businesses and organizations. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing our website, or using any part of the Service, you confirm that:

  • You are at least 18 years old or have reached the age of majority in your jurisdiction
  • You have the legal authority to enter into these Terms
  • You are using the Service for business or commercial purposes only
  • You represent a business, organization, or other commercial entity
  • You will comply with all applicable laws and regulations when using the Service
  • All information you provide is accurate and truthful

Business Use Only: Pronto is designed exclusively for business-to-business use. By using the Service, you represent that you are using it on behalf of a business or organization and have the authority to bind that entity to these Terms. Personal, non-commercial use of the Service is not permitted.

2. Description of Service

Pronto provides international Voice over IP (VoIP) calling services that enable you to:

  • Make International Calls: Place calls to mobile and landline numbers in over 180 countries worldwide
  • Purchase Phone Numbers: Optionally acquire dedicated phone numbers in select countries (currently US, UK, Canada, Australia, Germany, France, and Italy)
  • Receive Calls: Accept incoming calls on purchased phone numbers
  • Access Call History: View and export records of your calling activity
  • Manage Credits: Top up, track, and manage your calling credit balance

The Service operates over the internet and requires a stable internet connection. Service availability and call quality may vary based on your location, internet connection, and other technical factors beyond our control.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing:

  • A valid email address
  • Your full name
  • A secure password
  • Any additional information required by law or for verification purposes

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that we suspect have been compromised or are being used fraudulently.

3.3 Account Information

You must keep your account information accurate and up to date. You agree to notify us promptly of any changes to your email address, payment information, or other account details.

4. Calling Credits and Payment

4.1 Calling Credits

To make or receive calls using Pronto, you must purchase calling credits. Credits are:

  • Prepaid funds stored in your account
  • Used to pay for outgoing and incoming call minutes
  • Charged on a per-minute basis according to our published rates
  • Non-transferable between accounts

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By purchasing credits, you agree to Stripe's terms of service. We accept major credit cards, debit cards, and other payment methods supported by Stripe.

4.3 Pricing and Rates

Call rates vary by destination country and are displayed on our Pricings page. We reserve the right to change our rates at any time, but changes will not affect credits already purchased. You will always see the current rate before placing a call.

4.4 Billing

Credits are deducted from your balance in real-time as you make or receive calls. You can view your current balance and transaction history in your account dashboard at any time.

4.5 Taxes

Prices displayed do not include applicable taxes, duties, or fees imposed by government authorities. You are responsible for paying all taxes associated with your use of the Service.

5. Phone Number Services

5.1 Phone Number Purchase

You may optionally purchase dedicated phone numbers through Pronto. Phone numbers are:

  • Available in select countries (currently 7 countries: US, UK, Canada, Australia, Germany, France, and Italy)
  • Billed at an annual subscription rate that varies by country
  • Subject to availability
  • Licensed to you for use, not owned by you

Phone number pricing varies depending on the country of the number. Current rates are displayed during the purchase process and on our Pricing page.

5.2 Subscription and Renewal

Phone number subscriptions:

  • Automatically renew annually unless canceled
  • Must be renewed to maintain access to the number
  • Can be canceled at any time without penalty
  • Are non-refundable for the current subscription period

5.3 Number Portability

Phone numbers obtained through Pronto are not portable to other services. If you cancel your subscription or terminate your account, you will lose access to the number, and it may be reassigned to another user.

5.4 Credits Still Required

Purchasing a phone number does not include calling minutes. You must maintain sufficient calling credits to make and receive calls on your purchased numbers.

5.5 Compliance

You agree to use purchased phone numbers in compliance with all applicable telecommunications laws and regulations in the country where the number is registered.

6. Acceptable Use and Restrictions

6.1 Permitted Use

You may use the Service for lawful business communication purposes only. The Service is designed exclusively for commercial and organizational use.

6.2 Prohibited Activities

You agree NOT to use the Service to:

  • Make automated or bulk calls (robocalling, auto-dialing)
  • Send unsolicited marketing or spam calls
  • Harass, threaten, or abuse others
  • Engage in fraudulent activity or identity theft
  • Violate any laws, regulations, or third-party rights
  • Make emergency calls (see Section 14)
  • Access or attempt to access other users' accounts
  • Reverse engineer, decompile, or hack the Service
  • Resell or redistribute the Service without authorization
  • Use the Service to transmit malware or malicious code
  • Impersonate another person or entity
  • Circumvent security measures or authentication systems

6.3 Consequences of Violation

We reserve the right to investigate violations of these Terms. If we determine that you have violated these restrictions, we may:

  • Suspend or terminate your account immediately
  • Forfeit your remaining credit balance
  • Cancel your phone number subscriptions without refund
  • Report illegal activities to law enforcement
  • Take legal action to recover damages

7. Calls and Call Quality

7.1 Call Quality

We strive to provide high-quality voice connections. However, call quality depends on factors including:

  • Your internet connection speed and stability
  • Network congestion
  • Geographic location
  • Device capabilities
  • Third-party telecommunications networks

We do not guarantee uninterrupted or error-free service and are not responsible for call quality issues caused by factors outside our control.

7.2 Service Availability

While we aim for 99.9% uptime, the Service may occasionally be unavailable due to maintenance, technical issues, or circumstances beyond our control. We will provide notice of planned maintenance when possible.

7.3 Call Recording

We do not record your calls. You are responsible for complying with all applicable laws regarding call recording if you choose to record calls yourself. Many jurisdictions require consent from all parties before recording.

8. Termination and Cancellation

8.1 Termination by You

You may terminate your account at any time by contacting customer support. Upon termination:

  • Your access to the Service will be revoked
  • Any remaining credits will be forfeited (credits are non-refundable)
  • Phone number subscriptions will be canceled (non-refundable)
  • Your data will be handled according to our Privacy Policy

8.2 Termination by Us

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms
  • We suspect fraudulent or illegal activity
  • Required by law or court order
  • We discontinue the Service

We will provide reasonable notice unless immediate termination is necessary for legal or security reasons.

9. No Refunds Policy

9.1 Calling Credits

All calling credit purchases are final and non-refundable. Once you purchase credits, they cannot be refunded for any reason, including:

  • Unused credits remaining in your account
  • Account termination or cancellation
  • Change of mind or dissatisfaction with the Service
  • Inability to use credits for any reason

9.2 Phone Number Subscriptions

Phone number subscriptions are non-refundable. If you cancel before the end of your subscription period, you will retain access to the number until the subscription expires, but no refund will be issued for the remaining time.

9.3 Billing Errors

If you believe you have been charged in error due to a technical malfunction or duplicate charge, please contact our support team within 30 days of the charge. We will investigate and, if we confirm a billing error on our part, we will issue a correction or refund as appropriate.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to:

  • The collection and processing of your data as described in our Privacy Policy
  • The use of cookies and similar technologies
  • The transfer of data to our service providers and partners

We use enterprise-grade encryption to protect your communications and implement industry-standard security measures to safeguard your data.

11. Intellectual Property

11.1 Pronto's Rights

The Service, including all content, features, software, designs, text, graphics, logos, and trademarks, is owned by Easy Ventures LLC and protected by copyright, trademark, and other intellectual property laws.

11.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not:

  • Copy, modify, or create derivative works of the Service
  • Use the Pronto name, logo, or trademarks without permission
  • Remove or alter any copyright or proprietary notices

11.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them freely without any obligation to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

EASY VENTURES LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or inability to access the Service
  • Service interruptions or outages
  • Unauthorized access to your account
  • Errors or inaccuracies in the Service
  • Third-party conduct or content

Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected

We do not warrant that the Service will meet your requirements or expectations.

14. Emergency Calls and 911 Services

⚠️ IMPORTANT: PRONTO DOES NOT SUPPORT EMERGENCY CALLS

Pronto is not a replacement for traditional telephone service and does not support calls to emergency services such as 911 (US), 999 (UK), 112 (EU), or other emergency numbers.

You must maintain alternative means of accessing emergency services. DO NOT rely on Pronto for emergency communications.

By using the Service, you acknowledge and accept that:

  • Pronto cannot be used to contact emergency services
  • You have alternative means to access emergency services
  • We are not liable for any inability to contact emergency services

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email or through the Service
  • Provide at least 30 days' notice for material changes

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Service, you agree to first contact us to attempt to resolve the issue informally.

16.3 Arbitration

If we cannot resolve a dispute informally, you agree that any dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware.

16.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

16.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

17. Indemnification

You agree to indemnify, defend, and hold harmless Easy Ventures LLC, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws, regulations, or third-party rights
  • Content of your calls or communications made through the Service
  • Unauthorized use of your account by others due to your failure to maintain account security
  • Any disputes between you and third parties arising from your use of the Service
  • Claims related to spam, harassment, fraud, or illegal activities conducted through your account

This indemnification obligation will survive termination of these Terms and your use of the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

18. Force Majeure

Easy Ventures LLC shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, earthquakes, floods, fires, or severe weather
  • War, terrorism, civil unrest, riots, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Internet service provider failures, power outages, or telecommunications failures
  • Cyberattacks, hacking attempts, or distributed denial of service (DDoS) attacks
  • Labor disputes, strikes, or lockouts
  • Failures or delays by third-party service providers or telecommunications carriers
  • Changes in laws or regulations that prevent us from providing the Service

In the event of a force majeure circumstance, our performance obligations will be suspended for the duration of the event. We will make reasonable efforts to minimize the impact and resume normal operations as soon as practicable. If a force majeure event continues for more than 30 days, either party may terminate the affected services without liability.

19. Export Control and Sanctions Compliance

19.1 Export Control Laws

The Service and related technology may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree to comply with all applicable export control and sanctions laws.

19.2 Prohibited Use

You represent and warrant that you are not:

  • Located in, or a resident or national of, any country subject to U.S. embargoes or sanctions
  • Listed on any U.S. government list of prohibited, sanctioned, or restricted parties, including the Treasury Department's Specially Designated Nationals List or the Commerce Department's Denied Persons List
  • Owned or controlled by, or acting on behalf of, any person or entity on such lists

19.3 Restricted Destinations

You agree not to use the Service to make calls to, or conduct business with, individuals or entities in countries or regions subject to comprehensive U.S. sanctions, or to persons or entities on restricted parties lists. This includes but is not limited to countries currently designated by OFAC.

19.4 Compliance Verification

We reserve the right to suspend or terminate your access to the Service immediately if we suspect any violation of export control or sanctions laws, or if required to do so by law or government directive. You agree to cooperate with any compliance inquiries or investigations.

19.5 Updates to Restrictions

Sanctions and export control restrictions change frequently. You are responsible for staying informed about applicable restrictions and ensuring your use of the Service remains compliant at all times.

21. Additional Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Easy Ventures LLC regarding the Service.

21.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

21.5 Third-Party Services

The Service may integrate with or link to third-party services (such as Stripe for payments). Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

21.6 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
